Our role: platform, fees, and who makes which promises
FILM.FUND is a technology platform earning SaaS and transaction fees. Issuers make the representations about their projects — here is the clean division of responsibility.
What FILM.FUND is — platform only
FILM.FUND is a SaaS, deal-listing, and workflow engine. Our revenue comes from platform fees: subscriptions (Insider, Pro, Broker Desk), listing and workflow fees on successful raises, and administration fees. We provide software, standardized SPV document infrastructure, verification tooling, and marketing distribution — the rails, not the transaction.
Who actually transacts
- Securities activity — solicitation, offers, and execution — is conducted by the licensed partner broker-dealer / placement agent engaged for each offering
- All investor money is handled exclusively by independent escrow agents and SPV administrators — funds never touch FILM.FUND accounts
- A “commitment” submitted on the platform is an indication of interest routed to the licensed partner; subscription execution and funding happen with the partner and escrow administrator
What FILM.FUND is not
- Not a broker-dealer, placement agent, or funding portal — we do not solicit or execute securities transactions
- Not the issuer — each offering is issued by its project’s SPV, controlled by the creator
- Not an underwriter or guarantor of any offering or outcome
- Not an investment adviser — nothing on the platform is investment, legal, or tax advice
- Not a custodian of raise funds — commitments are held by independent third-party escrow agents
Who represents and warrants what
- Creators (issuers) represent and warrant the accuracy of their project claims — budget, attachments, rights/chain of title, incentives, and use of funds — in the offering documents they sign
- Investors represent their own eligibility under the offering’s framework (e.g., Reg CF limits, accreditation for Reg D 506(c)) and acknowledge the stated risk factors
- FILM.FUND represents the operation of the platform itself: published fees, escrow handling per the stated process, and the verification steps we say we perform
Verification helps — it does not transfer responsibility
Our verification flow checks claims against evidence and assigns a GreenlightScore™, which reduces — but can never eliminate — risk. Verification is a diligence aid, not a guarantee, and does not shift the issuer’s responsibility for their representations onto the platform.
FAQ
If a project fails, does FILM.FUND reimburse investors?+
No. Film investing involves risk of total loss, and the platform does not guarantee outcomes. Escrow protections apply only to the raise period: if a raise misses its minimum, funds are returned in full.
Who do I contact about a misleading listing?+
Report it via the Feedback button or contact@film.fund. Verified misrepresentation leads to delisting and is addressed under the issuer agreement.
